1. Introduction
These Terms of Sale apply to all IT services, consultancy, training, and related products offered by Seltech IT Services Ltd (“we”, “our”, “us”) to business customers (“you”).
2. Orders & Contract Formation
A contract is formed when we confirm your order in writing (including by email or signed agreement).
Quotes are valid for 30 days unless stated otherwise.
3. Pricing & Payment
All prices are quoted in GBP (£) and may be subject to VAT where applicable.
Payment terms are [e.g., 14/30 days from invoice date].
Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.
4. Service Delivery
We will deliver services with reasonable skill and care.
Delivery timelines are estimates and not guaranteed unless expressly agreed.
You agree to provide necessary access, cooperation, and information to enable us to perform services.
5. Cancellations & Refunds
Cancellations must be made in writing.
Refunds are at our discretion and depend on the stage of work completed.
Software licenses, domain names, and third-party subscriptions are non-refundable.
6. Warranties & Limitation of Liability
We warrant that services will be provided with reasonable skill and care.
We are not liable for indirect, consequential, or business losses.
Our total liability will not exceed the total amount paid for the services in question.
7. Intellectual Property
All materials, software, and documentation provided remain our property unless explicitly transferred in writing.
You receive a licence to use deliverables for internal business purposes only.
8. Termination
Either party may terminate with written notice if the other materially breaches the agreement.
Upon termination, all outstanding fees become payable immediately.
9. Force Majeure
We are not liable for failure to deliver services due to events outside our control (e.g., strikes, natural disasters, IT outages).
10. Governing Law
These Terms of Sale are governed by the laws of England and Wales, and disputes will be subject to the exclusive jurisdiction of its courts.
